GENERAL

These conditions, together with any Special Conditions set out by 3C Test Limited in the Quotation or other contract documents shall be deemed to comprise the sole conditions under which 3C Test offers its services to the Customer.All contracts entered into and work undertaken will be done on the basis of our standard terms & conditions unless 3C Test expressly agrees in writing to amend them in any way.

SERVICES & ACCREDITATION

3C Test Ltd provides a wide range of services including EMC testing, consultancy, regulatory conformance services & product certification. 3C Test Ltd is accredited by the United Kingdom Accreditation Service (UKAS) and the scope of accreditation covers all our EMC laboratories. The schedule of tests, which are UKAS accredited is available on request. All our laboratories work to BS5750/ISO 9001 requirements. 3C Test Ltd has been appointed as a ‘Competent Body’ by the DTI for assessment of Technical Construction Files relating to the European Directive 89/336/EEC.  3C Test Ltd holds accreditation from UKAS for AEMCLRP status and can perform tests to the requirements of Ford GM and Daimler-Chrysler.

PRICE

Prices are exclusive of VAT and chargeable in respect of the provision of services. Such taxes shall be charged at the rate effective at the date of invoice.Where the parties agree to vary the scope of work and/or delivery dates, such agreement shall be recorded in writing, signed by the parties and 3C Test shall be free to adjust the contract price to take account of such changes.In the event of the suspension of the work due to any act of omission of the Customer, any prices quoted may be increased by 3C Test to cover any extra expenses incurred by it on this or any other agreed 3C Test contract.   All prices are usually quoted on the basis of the work being carried out during the normal hours of operation between 9:15am – 5:00pm. Extra shift work from 5:00pm – 1:00am is available upon request or if required by 3C Test.

FAILURE TO COMPLY

In general, the test program will be completed as quoted unless the client gives specific instructions to 3C Test in the event of failure. Cancellation of the test due to failure will result in cancellation charges. Engineering work can be conducted on the product at any time during the test cycle but will result in additional test time being required to re-test certain aspects. Failure of test will be notified to the client at the earliest possible time.

Repeat testing will be subject to a separate quotation.

PAYMENT

We can accept payment by the following methods:-

· Payment in advance against pro-forma invoice, either by cheque, bank transfer or credit card.

· Payment against invoice on an approved credit account (a credit account may be opened by completing a Credit Application Form and 3C Test obtaining satisfactory credit references).

For approved credit accounts only, the Customer shall make full payment to 3C Test of the contract price within 30-days from date of invoice.

In the suspension of work as described under "PRICE" for a period of thirty (30) days or more 3C Test shall be entitled to invoice the Customer for work done prior to suspension of work.If any sum payable under this agreement is not paid by the Customer on the due date for such payment then without prejudice to 3C Test’s other rights and remedies 3C Test reserves the right to charge interest as defined by the "Late Payment of Commercial Debts (Interest) Act 1998. Such interest together with all the Creditor’s reasonable costs and expenses of recovering the late payment and interest shall be paid by the Customer on demand made by 3C Test.

All account bank transfer and currency exchange charges must be paid by the client – invoices cannot be cleared unless all charges are accounted for and this may delay release of final documentation.If any sum payable under this agreement is not under query and is not paid by the customer on the due date, 3C Test reserves the right to withhold all Reports and Certificates until the contract price has been settled in full.  Please be aware that the quotation contains payment and documentation release clauses that are relevant to the Customers accounts department.

ORDERING/BOOKING

To proceed with the testing, please sign and return Appendix 1 from your proposal together with your full payment (for non-account holders) or an official authorised Purchase Order (for account holders only). The Payment or Purchase Order document should be received five (5) working days before the tests are scheduled to take place. Provisional sessions can be allocated upon 3C Test confirming receipt of Appendix 1. The sessions will not be guaranteed until 3C Test has received the official Purchase Order or Payment as defined above.

A maximum of two (2) persons can attend any particular test.

REPORTS / CERTIFICATES

Any result or recommendations given in reports or certificates are correct to the best of 3C Test’s knowledge at the time and on the basis of the instructions and information provided by the Customer. 3C Test shall not be liable for any claims, actions or consequential damages suffered by the Customer or any third party by use of such reports or certificates and the Customer hereby agrees to indemnify 3C Test against such liability arising from the use of such report or certificates.

Reports on the tests performed are available in 2 different formats:

1. A full test report detailing the work involved and a summary of results and conclusions.

2. A brief summary report including hard copy of any plots taken.

Reports are available for release within three (3) weeks from the completion of the testing subject to all product information being made available. An earlier turn around may be achieved, however, an additional premium may be required in order for 3C Test to achieve this request.   Release of the final full test report is subject to full settlement of any invoices relating to the task in hand. If a credit account is in place, this must be maintained in a satisfactory condition.

CUSTOMERS PROPERTY & DELIVERY / COLLECTION

The Customer is responsible for the delivery and collection (including cost) of their property to and from 3C Test Laboratories. Customers must ensure that the property to be tested arrives at 3C Test at least 5 working days prior to the scheduled commencement of testing. All consignments must be marked with 3C Test’s proposal number and a packing list enclosed. Special storage instructions must be reported to 3C Test at least 2 weeks before the test is due to commence.

The Customer shall, prior to delivery, notify 3C Test of any actual or potential health and safety hazards whether inherent in, or arising from, the present condition of such equipment, with particular reference to the proposed work programme. The Customer assumes full liability for any accident or damage to persons or property on 3C Test’s premises caused by or arising out of the condition or nature of the equipment not disclosed to 3C Test.     All electrical apparatus shall be suitably labelled to indicate that it complies with the requirements of the Electricity at Work regulations.

3C Test must have all the necessary cables, terminators, technical information relating to the product and support equipment, such as instruction manuals etc prior to testing. If the equipment is software controlled please ensure that a suitable computer is provided together with the documentation to enable 3C Test to operate the equipment. If the product is battery powered, please provide spare batteries and/or a separate charging unit to ensure that battery changes can be made as required.

Please note NO photographic equipment should be brought into the chamber unless it is either part of the system under test or support equipment.

3C Test shall notify the Customer of availability for collection. If the Customer fails to collect within thirty (30) days of the date of notification 3C Test may arrange packing and transport for the items at the Customer’s expense. In cases where tests to destruction are called for, 3C Test will give notice of availability of debris for return to the Customer. If the Customer fails to give disposal instructions within thirty (30) days 3C Test shall dispose of the debris without further liability. All disposal costs incurred shall be at the Customer’s expense.  3C Test Ltd reserves the right to refuse testing in the event of unsafe equipment being delivered for test or to support a test. Cancellation charges will apply in this event.

SUPPORT EQUIPMENT

The support equipment must radiate at below the required test limit and must be immune to the expected stress levels for all submitted tests. Failure to ensure this requirement is met may lead to additional testing at the Customers expense to prove compliance. 3C Test is able to provide certain items of either test or support equipment, or to modify / construct special items of test equipment to support the test program. However this is always at the Customers risk and no responsibility or liability for subsequent test or product failure can be accepted as a result of the test being performed with this equipment.

RF DAMAGE TO EQUIPMENT / VEHICLES

Electronic systems may suffer permanent damage when subjected to tests performed as part of this work programme. Customers must ensure replacement units are available so that the tests may proceed, in the event of a system malfunction.  3C Test does not accept liability for loss or damage, however caused, to property submitted for test. Customers must ensure that they hold adequate insurance cover.

CANCELLATION & IDLE CHARGES

3C Test reserves the right to apply the following charges should it be necessary to cancel a booking:

If the same work is re-booked within 6 months, a refund of 50% of the cancellation charge (i.e. 25% of the value of the booked work) will be made.

3C Test also reserves the right to make a charge up to the amounts set out below for resource idle time if the Customer has to suspend work in progress due to a failure or problems with the Customers equipment, data or test sample as follows:

COPYRIGHT

The rights either under Letters patent, Registered Design, Copyright or otherwise to any inventions, designs, drawings or information produced or acquired in the performance of this contract shall vest in and shall remain the property of 3C Test Limited.

NON-SOLICITATION

All parties agree that during the period of this Agreement and for twelve (12) months after its conclusion, not directly nor indirectly to solicit for employment any of the staff of the other Parties without consent of the other Party. Where such employment is offered and accepted then the offering Party will pay to the other Party a sum equal to the current annual salary cost of the employee concerned.

LAW

The Contract shall be governed by English Law
